3)Eligibility & accounts

Age. You must be at least 18 to enter into these Terms. If you are under the age of digital consent in your country, you may use the Services only with verifiable parental/guardian consent and supervision.

Account. You must provide accurate information and keep your credentials secure. You are responsible for all activity on your account.

4)Health, safety & emergencies

No medical advice. The Services are not a medical device, are not intended to diagnose, treat, cure, or prevent any disease, and do not replace professional medical advice. Always consult your clinician before making health decisions or changing care plans.

Safety. Do not use the Services while driving or in hazardous environments. Use hardware and accessories as instructed in the relevant user guide. If you experience discomfort, stop using the product and consult a clinician.

No emergency use. The Services are not intended for emergency communications. In an emergency, call local emergency services.

5)Voice restoration, user content & rights

Your Content. "User Content" includes text, audio (including voice samples), images, settings, and other material you submit or generate through the Services.

Your ownership. You retain ownership of your User Content, including your voice and recordings. You grant Halo a worldwide, non-exclusive license to host, process, reproduce, and otherwise use your User Content only as necessary to provide and improve the Services to you and to comply with law. (See our Privacy Policy for how we handle personal data.)

Voice restoration. When you use Voice Studio to create a "Restored Voice" from your samples, you confirm that (a) the samples are your voice or you have documented express consent from the voice owner; (b) you comply with any rights of publicity, privacy, and likeness; and (c) you will not use a restored voice to impersonate others or deceive people.

Prohibited impersonation & deception. You must not use the Services to mislead others about your identity or to create, distribute, or use deceptive audio (including deepfakes) without clear disclosure and lawful consent.

Feedback. If you provide feedback, ideas, or suggestions, you grant Halo a royalty-free, perpetual license to use them. Feedback is voluntary and non-confidential.

6)Acceptable use

• Violate laws or third-party rights (IP, publicity, privacy, telecom).
• Upload harmful code, interfere with security, or attempt to access non-public systems.
• Use the Services for high-risk scenarios (e.g., life-critical systems).
• Harass, exploit, or harm others, or generate illegal or harmful content.
• Use Sidebar in a way that violates WhatsApp terms, policies, or rate limits, or that may cause your WhatsApp account to be restricted or banned.

7)Third-party services

Integrations. The Services may integrate with or enable use of third-party services (e.g., WhatsApp via Sidebar; app stores; carriers). Those services are governed by their own terms, and you are responsible for compliance.

No affiliation. We are not affiliated with or endorsed by WhatsApp or Meta. Your use of WhatsApp through our Sidebar is at your discretion and risk.

8)AI features & limitations

Generative AI. The Services use AI models that may produce inaccurate or inappropriate outputs and may not reflect real-world facts. You are responsible for reviewing outputs and making final decisions. Do not rely on the Services for medical, legal, or other professional advice.

BETA features. Access to Agent and other experimental functionality is provided as-is, may be rate-limited, and may be modified or terminated without notice.

9)Plans, trials, billing & taxes

Free tier & trials. We may offer a free plan or trials for evaluation, which may be subject to time, feature, or fair-use limits.

Paid plans. If you subscribe to a paid plan, you authorize us to charge the fees, taxes, and any applicable overage. Subscriptions auto-renew unless cancelled before the renewal date. You can manage or cancel in your account settings. For monthly plans, you will be notified 7 days before renewal. For annual plans, you will be notified 30 days before renewal.

Refunds. Unless required by law or stated otherwise, fees are non-refundable. EEA/UK consumers: statutory rights apply, including potential right of withdrawal for digital content; if you request immediate supply and acknowledge losing the right to withdraw, you may waive it.

10)Hardware (Halo Headband) — orders, delivery & returns

Orders. Orders are subject to acceptance and availability. We may limit quantities or refuse orders.

Delivery & risk. Title and risk pass on delivery according to applicable law. Provide accurate shipping info.

Return policy & warranty. You have a 30-day right to return hardware from the date of delivery for a full refund, provided the item is unused and in its original packaging. All hardware comes with a 1-year statutory warranty for defects in conformity. Your statutory rights are not affected.

Safety & usage. Use only as instructed. Keep devices and accessories away from children and liquids. Do not open, modify, or misuse hardware.

11)Intellectual property

Our IP. We and our licensors own the Services and all related IP, including software, models, interfaces, designs, and documentation. These are licensed to you, not sold.

License to you. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial purposes (or as otherwise agreed in writing).

Restrictions. You may not reverse engineer, decompile, or attempt to extract source code or model weights, except where permitted by law.

12)Privacy

Our Privacy Policy explains how we collect and process personal data (including voice samples and restored voices). Please read it carefully before using the Services. It is available at http://haloneuro.ai/privacy.

13)Termination & suspension

We may suspend or terminate access if you breach these Terms, risk harm to others, or for security, legal, or operational reasons. You may stop using the Services at any time and may delete your account in settings or by contacting [email protected]. Certain provisions survive termination (e.g., IP, disclaimers, limitations, governing law).

14)Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. This does not affect statutory rights that cannot be disclaimed.

15)Limitation of liability

To the maximum extent permitted by law, Halo NeuroAI, Lda and our affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility. Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months before the claim or (b) €100. Some jurisdictions do not allow certain limitations—those limits apply only to the extent permitted.

16)Indemnity

You will defend and indemnify Halo against third-party claims, damages, and costs (including reasonable legal fees) arising from your: (a) misuse of the Services; (b) violation of law or these Terms; (c) infringement or misuse of others’ rights (including voices, likeness, IP, or WhatsApp policies).

17)App stores & telecom

If you download our mobile apps, your use may be subject to the app store’s terms and policies, and the store may be a third-party beneficiary of these Terms to the extent required by its developer terms. You are responsible for carrier charges.

18)Export & sanctions

You must comply with applicable export control and sanctions laws and may not use the Services where prohibited.

19)Changes to these Terms

We may update these Terms. If we make material changes, we will provide reasonable notice (e.g., by email or in-product). Continued use after the effective date constitutes acceptance.

20)Governing law & venue

If you reside in the EEA/UK, you may bring claims in your local courts under mandatory consumer law; these Terms do not limit those rights.

21)Notice of alleged infringement / takedown

To report alleged infringement (e.g., voice, likeness, or copyright), contact: [email protected] with sufficient detail to identify the content and your rights.

22)Miscellaneous

These Terms are the entire agreement between you and Halo regarding the Services and supersede prior agreements on this subject. If a provision is unenforceable, the rest remains in effect. Our failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in a merger, acquisition, or sale.
